Article I. Name of the Organization:
The name of the organization shall be called “Vietnamese Student Organization”;
its abbreviation shall be called “VSO”.
Article II. Purpose:

Section 1. To foster friendship, scholarship and work towards the achievement
of higher academics and social rewards

Section 2. To create an atmosphere conducive to mutual assistance
among the Vietnamese students at the UH.

Section 3. To represent the Vietnamese student at the UH.
-
Section 4. To promote cultural understanding, cooperation and interaction
among Vietnamese Students.
-
Section 5. To unite Vietnamese Students in order to protect and develop
their interests and especially their cultural heritage.

Section 6. To provide fellowship and mutual support.
-
Section 7. To foster communication through the distribution of a
news letter and other informative and educational materials.
Article III. Membership:
-
Section 1. Membership in the club is open to all persons who are interested
in and subscribe to the purpose and principles of the organization as set
forth in these bylaws, and who have paid membership dues.

Section 2. Removal: A member(or officer) of the VSO may be removed
for cause, which includes committing a felony or conduct derogatory to
the best interests of the organization, by affirmative vote of two thirds
of the members present and voting at the meeting. The VSO shall
extend all rights to the member in question during the removal proceeding.

Section 3. All members are required to attend meetings at least
once a month.
Article IV. Executive Officers:

Section 1. The executive office of the Vietnamese Student Organization
is composed of:
1. President
2. Two Vice-president
3. Secretary
4. Treasurer
5. Committees
Article V. Election of Officers

Section 1. The executive officers of club is constituted by the president,
vice-president, secretary, treasurer shall be elected.

Section 2. Any member who shall be 18 years of age to be eligible
to vote and rungs for office. The incumbent officers are to be considered
eligible to run for election.

Section 3. Elections shall be held each May of the year.

Section 4. Term of Office: Officers will serve for one year.
Article VI. Duties and Responsibilities of Elected Officer:

Section 1. Duties and Responsibilities of the President:
A. Oversee all functions and activities of the Vietnamese Student
Organization.
B. Preside over all meetings of the executive officers and general
meetings.
C. Represent the Vietnamese Student Organization at all times.
D. Responsible for appointing a replacement , for executive officers
when there is a vacancy.
E. Under emergency circumstances, the President has the authority
to make final decisions.
F. In case there are equal votes on the resolution, the President
has the authority to make final decisions.
G. The president shall countersign all bank notes(Cheques) of
the expenditures.
H. Under urgent circumstances, the President has authority to
withdraw funds from the Vietnamese Student Organization account, but not
to exceed $100.00(one hundred dollars)

Section 2. Duties and Responsibilities of the Vice-president:
A. Assume all duties of the President and responsibilities
when the president is absent.
B. Automatically assume the duties and responsibilities of the
president when the president resigns or is impeached.

Section 3. The Secretary shall:
A. Records all notes of meetings of the executive officers and
general meetings.
B. Record minutes to the executive officer’s meetings and general
meetings.
C. Compile and file all records and correct records of roster
of all executive officers and other officers.
D. Issue and notify members of the meeting and also arrange the
format of the meeting.

Section 4. The Treasurer shall:
A. Receive all donations, issue receipts and file the correct
records and also make bank deposits into the VSO accounts.
B. Countersign all bank notes(Cheques) with the President or
Vice-president.
C. Report the financial status of the VSO financial records to
any one who is interested or has any questions.
E. Assume the duties and responsibilities assigned by the president
and the executive officers.
Article VII. Advisory Board:
The Advisory Board members will assist the Executive officers by making
recommendations and suggestions.
Article VIII. Quorum
A general meeting shall consist of at least 2/3(twothird)of the members
to constitute a quorum
Article IX. Voting

Section 1. Voting shall be conducted by either secret ballot or raising
hands.

Section 2. Any resolution shall be passed or approved by the majority
or 1/2 +1(one half plus one) of the members present at the meeting.
Article X. Amendments:
These bylaws can be revised or amended by a two third vote at any regular
meeting of the organization, provided that the amendment has been submitted
at the previous regular meeting.
