ARTICLE I: NAME
This organization shall be known as the University of Hawaii Community Partnership for Health and Fresh Air, and hereinafter called the Partnership
ARTICLE II: PURPOSE
The purpose of the Partnership shall be to help everyone in the University community including students, faculty, and staff not to start using tobacco products, to quit using tobacco products if they wish to, and not to be exposed to tobacco smoke.
ARTICLE III: MEMBERSHIP
Section 1
Membership in
the Partnership shall be open to all students, faculty, staff and alumni
of University of Hawaii. Other persons may obtain membership at the discretion
of the Chair. Formal dues are not required although members have the option
of contributing to the organization annually, usually no more than twenty
dollars.
Section 2
Eligible persons
may attain membership in the Partnership by notifying the Chair of their
intent to become members in writing.
ARTICLE IV: OFFICIAL MEETINGS
Section 1
There shall be at least two official meetings of the Partnership each
year. Other official meetings may be set by the Chair as the need arises.
Section 2
Notice of all official meetings shall be given by adequate notice (email
through the Partnership list serve) at least one week prior to the meeting.
The agenda for such a meeting shall also be provided.
Section 3
Official action may be taken by the Chair or by a quorum of the Partnership
members. Official action is any action involving commitment of the Partnership's
name and/or commitment of the Partnership's participation in public events
or forums. At official meetings a quorum shall consist of a majority of
those members voting at that official meeting. Official meetings shall
be open to all members of the Partnership.
Section 4
Informality and facility of operations shall be the basic principles of
procedure governing the Partnership's operations.
ARTICLE V: OFFICERS
Section 1
The officers of the Partnership shall be a Chair, a Vice Chair, a Secretary,
and the Immediate Past Chair.
Section 2
The Chair, the Vice Chair and the Secretary shall be elected for a term
of one year at the annual meeting of the Partnership by a majority of
those members voting at that official meeting. The annual meeting of the
Partnership will be held in May and is open to all members. The Chair
shall:
a. be responsible for all matters for the efficient administration and operation of the Partnership;
b. act as the chief spokesperson(s) for the Partnership;
c. preside over official meetings of the group;
d. evaluate and grant special membership for those who are not either students, faculty, and alumni of University of Hawaii.
Section 3
The Vice Chair shall:
a. serve in the Chair's stead as necessary ;
b. assist in general operations of the Partnership.
Section 4
The Secretary shall:
a. keep written records of all proceedings of the official Partnership meetings;
b. post notices of forthcoming meetings, agendas, and any other public functions of the Partnership.
c. maintain the Partnership 's financial records and accounts;
d. disburse funds in accordance with the determinations of the Chair.
ARTICLE VI: AMENDMENTS
The By-Laws may be amended by publication of the proposed amendments at least one week prior to an official meeting and approved by three-fifth (3/5) of those members voting at that official meeting.
